Christoph von Arnim is managing partner as well responsible for marketing at the Berlin office.
He has worked as an attorney in Berlin since 1993. Since then, he has advised public entities, public corporations and midsized companies, in particular those in the real estate and healthcare industries, as well as commercial enterprises on all issues of corporate law and finance law. Another emphasis of his practice is advising banks and financial services providers in banking law and capital market law matters.
The practice of Mr. von Arnim includes the incorporation of companies, the drafting of partnership agreements/articles and bylaws and partner/shareholder agreements, the preparation and holding of shareholder/partnership meetings, including the handling of any legal actions contesting the validity of resolutions, as well as special audit and approval proceedings, compliance with articles and bylaws, rules and procedures, and capital market rules (German Corporate Governance Code, German Securities Trading Act) by the management board and supervisory board (corporate governance), and corporate financing using both equity capital and debt capital, including mezzanine financing. Mr. von Arnim assists clients with the purchase and sale of enterprises and shareholdings (due diligence reviews, agreements for the sale of enterprises or shares, and acquisition financing). He counsels clients in corporate crises (restructurings) and on the liquidation of enterprises. Mr. von Arnim has many years of experience liquidating stock corporations and serving on supervisory boards of publicly traded and privately held (listed and co-determined) companies.
Mr. von Arnim assist banks and businesses with acquisition and project financing, in particular with procuring loans (club deals, senior/junior loan structures, etc.) and drafting loan documents (delivery of collateral, legal opinions, intercreditor agreements, etc.).
