FPS advises Raiffeisen Agrar Invest AG on restructuring of BayWa AG
Frankfurt/Munich, 15 September 2025 – The commercial law firm FPS provided comprehensive legal advice to Raiffeisen Agrar Invest AG (RAI), one of the two main shareholders of BayWa AG, on the financial restructuring of BayWa AG.
BayWa AG and its group companies are an internationally active trading and services group headquartered in Munich; the company develops solutions for the basic needs of nutrition, housing, heating, electricity and mobility and is active in more than 50 countries through its Agriculture, Energy and Construction divisions. The group most recently employed around 22,000 people.
FPS's advice focused on restructuring law issues, the structuring and implementation of shareholder financing measures, support for the necessary StaRUG measures, including the coordinated exercise of shareholder rights within the framework of the restructuring plan, and advice on the divestment of individual group holdings.
FPS worked closely with bpv Hügel, led by Dr. Christoph Nauer, on issues relating to Austrian law. Advice on stock corporation and capital market law – including coordination with BaFin and the successful exemption from the offer obligation under Section 37 WpÜG – was provided by Oppenhoff in close coordination with FPS, led by Dr. Günter Seulen.
The FPS team was led by partner Daniel Herper and provided advice in particular in the areas of restructuring, insolvency law, corporate law and M&A.
