FPS advises Aedifica on the acquisition of two nursing home properties

Dr Georg Frhr. v.u.z. Franckenstein led the legal advisory team for Aedifica, together with Evelyn Grafenstein-Griffiths, Marcus Schmitz, Dr Ann-Kathrin Martino, Johanna Walliczek and John Büttner. The advice focused on legal due diligence, contract drafting and purchase agreement negotiations.

The acquisition thus represents a further expansion of the extensive German healthcare portfolio of the Belgian company Aedifica. FPS has been advising Aedifica for some time on transaction and property law issues in connection with the expansion of its healthcare portfolio in Germany.

Aedifica is a public regulated real estate company (REIT) governed by Belgian law that specialises in European real estate in the healthcare sector, particularly senior care and nursing homes. Aedifica has a property portfolio in Belgium, Germany, the Netherlands, the United Kingdom, Finland, Ireland and Spain with a value of over €6 billion (as of 2025).

The transaction comprised a portfolio of two social properties: the retirement home at Alte Saline in 21335 Lüneburg, Vor der Sülze 1, and the nursing home in 21077 Hamburg-Harburg, Kapellenweg 103.

The retirement home at Alte Saline is a fully residential care facility located on the edge of Lüneburg's old town and has 109 single rooms. It is operated by the Argentum Group, which belongs to the financial investor Lafayette Mittelstand Capital.

The building complex at Kapellenweg 103 in Hamburg-Harburg is leased to Agitalis GmbH, which belongs to DOREAFAMILIE Hamburg-Harburg. A fully residential facility with 71 single rooms and 18 double rooms is operated there, supplemented by specialised day care for elderly people. Long-term double-net leases have been concluded with both operators.
